Terms of Service

These Terms govern access to and use of Agenomic websites, the cloud platform, the CLI, SDKs, APIs, the MCP Server and related services (together, the “Service”). By using the Service, you agree to these Terms.

The Service is intended for professional and business use. By using it, you confirm that you have authority to bind the organization on whose behalf you act.

You are responsible for:

• providing accurate account information;
• protecting your credentials;
• API keys;
• MCP tokens;
• service account tokens;
• and all activity under your account.

Agenomic may suspend access where there is a security risk.

You agree not to use the Service for, or to engage in:

• illegal activity;
• security attacks;
• reverse engineering, except where legally permitted;
• abuse of the APIs;
• interference with the Service;
• uploading malware;
• violating third-party rights;
• submitting secrets or sensitive personal data without appropriate safeguards;
• using the Service to build harmful autonomous agents;
• bypassing policy, audit or security controls.

You retain ownership of the data you submit. You grant Agenomic the limited rights needed to process that data to provide the Service.

You are responsible for the lawful basis, notices, permissions and content you submit into agent traces, prompts, tools and Evidence Packages.

Agenomic provides technical records, metrics, replay reports and evidence artifacts. Agenomic does not guarantee that an AI agent behaves safely, lawfully or correctly in all circumstances, and does not provide legal certification.

Agenomic may help generate technical evidence that supports compliance workflows. Agenomic is not a law firm, conformity assessment body, notified body or legal certification provider.

Customers remain responsible for their own legal and regulatory obligations. Legal compliance requires qualified review.

If you use the Agenomic MCP Server:

• tools may create, modify or schedule actions;
• you control permissions and tokens;
• you are responsible for agent behavior;
• mutating tools should be enabled only in trusted environments;
• raw sensitive payload exposure should remain disabled unless properly authorized.

Where the Service supports scheduled or delayed actions, those actions may execute later. You are responsible for reviewing payloads, recipients and policies.

Agenomic may block, delay, cancel or require human approval for actions based on policy or security settings.

Paid plans, billing, taxes, renewal and the consequences of non-payment are described in your order form or plan. [Payment terms — to confirm with counsel.]

Certain features may be offered as beta or preview, and may be free during that period.

Beta and preview features may change, break or be discontinued at any time, and are provided without any service-level commitment unless separately agreed.

Availability and support are not guaranteed unless a separate agreement or SLA applies. We may perform maintenance, which can cause temporary interruptions.

Each party should protect the other’s confidential information, except for information that is public, independently developed, or required to be disclosed by law.

You are responsible for configuring, where applicable:

• authentication;
• organization scopes;
• row-level security / access control;
• secret management;
• redaction;
• retention.

Agenomic applies reasonable technical and organizational security measures.

Agenomic may integrate with third-party services, such as:

• model providers;
• cloud providers;
• GitHub;
• observability tools;
• payment providers;
• email providers;
• storage providers;
• MCP clients.

Your use of third-party services may be subject to their own terms.

Agenomic owns the platform, software, documentation and trademarks. You own your customer content. If you send us feedback, we may use it without restriction.

Our Privacy Policy explains how we process personal data. For processor activities, the Data Processing Addendum applies.

You may stop using the Service at any time. Agenomic may suspend or terminate access for breach, security risk, non-payment or legal reasons. Data export and deletion are subject to retention settings and your plan.

To the maximum extent permitted by law, the Service is provided “as is”. We do not guarantee that:

• agent outputs are accurate;
• replay is always exact;
• evidence has a specific legal effect;
• the Service prevents all misuse.

To the extent permitted by law, liability is limited as set out in the agreement between the parties. [Liability cap — to be reviewed and set by counsel.]
